Freelance / Contractor Agreement

ENGAGEMENT The Client engages the Contractor to provide the Services. The Contractor is an independent contractor, not an employee. Nothing in this Agreement creates an employer-employee relationship. 2. SCOPE OF SERVICES The Contractor agrees to provide: [Detailed description of work, deliverables, milestones, technical specifications. Attach Statement of Work if needed.] 3. COMPENSATION 3.1 Fees: [Fixed fee of Amount / Hourly rate of Amount / Milestone payments / Retainer of Amount per month] 3.2 Payment: [Percentage]% on signing, [Percentage]% on [Milestone], [Percentage]% on completion. Net [Number] days from invoice. 3.3 Invoicing: Submit invoices [monthly / per milestone] to [AP Email] with name, date, description, amount, and tax ID. 3.4 Expenses: Pre-approved expenses reimbursed with receipts. 3.5 Late Payment: Interest at [Percentage]% per month on overdue amounts. 4. INDEPENDENT CONTRACTOR STATUS Contractor is solely responsible for: taxes, licenses, insurance, tools and equipment, and legal compliance. Contractor is not entitled to employee benefits. 5. INTELLECTUAL PROPERTY All work product, code, designs, documents, and materials shall be the Client's sole property upon full payment. The Contractor assigns all rights to the Work Product. Pre-existing IP remains the Contractor's property with a perpetual, royalty-free license to the Client. 6. CONFIDENTIALITY The Contractor shall hold all confidential information in strict confidence, not use it except to perform Services, and not disclose it without written consent. This obligation survives termination. 7. TERM AND TERMINATION 7.1 Term: Effective Date until [End Date]. 7.2 Either party may terminate with [Number] days' written notice. 7.3 Client may terminate immediately for uncured material breach. 7.4 On termination, Contractor delivers all Work Product. Client pays for Services satisfactorily performed. 8. WARRANTIES & INDEMNIFICATION Contractor warrants Services will be performed professionally and Work Product will be original. Contractor indemnifies Client against claims arising from Contractor's breach or negligence. 9. LIMITATION OF LIABILITY Neither party is liable for indirect or consequential damages, except for breach of confidentiality or IP obligations. 10.
